These Terms & Conditions (“Legal Terms”) form a binding agreement between Leavid, owned by John Christmas (“Leavid,” “we,” “us,” or “our”), and you (“you” or “user”) concerning your access to and use of the Leavid website, mobile site, and any related products or services that link to these Legal Terms (collectively, the “Services”).

If you do not agree to every provision below, please discontinue use of the Services immediately.

1. Our Services

Leavid sells consumer goods to residents of the United States. Access from other jurisdictions is at your own initiative, and you are responsible for complying with local law.

2. Intellectual Property Rights

2.1 Our Content & Marks

All source code, software, designs, text, images, graphics, audio, video, databases, and the Leavid name and logo (collectively, “Content & Marks”) are owned or licensed by us and protected by U.S. and international IP laws.

2.2 Your Limited License

We grant you a revocable, non-transferable, non-exclusive license to

• access the Services; and
• download or print portions of the Content strictly for personal, non-commercial use.

No other rights are granted. Any unauthorized use terminates the license.

3. User Representations

By using the Services you warrant that:

1. You have legal capacity to enter into these Legal Terms.
2. You are at least 18 years old (or the age of majority in your locale).
3. You will not use bots, scripts, or other automated means.
4. Your use will comply with all applicable laws.

4. Prohibited Activities

You must not:

• Harvest data from the Services to build a database.
• Reverse-engineer or attempt to bypass security.
• Upload malware or spam.
• Use the Services to harass, defame, or violate any law.
• Impersonate another user.
• Engage in any activity that competes with Leavid.

5. User-Generated Contributions & License

If the Services ever allow submissions (reviews, comments, etc.):

• You retain ownership of your content.
• By posting, you grant Leavid a world-wide, royalty-free, perpetual license to use, display, and adapt your content for any lawful purpose.
• You confirm your content is original or you have full rights to post it, and it does not violate any third-party rights.

6. Services Management

We may monitor, remove, or refuse content or access that violates these Legal Terms, and we may report unlawful behavior to authorities.

7. Term & Termination

These Legal Terms remain in effect while you use the Services. We may suspend or terminate access at any time, without notice, for any breach or for any reason in our sole discretion. Upon termination, your right to use the Services ceases immediately.

8. Modifications & Interruptions

We may change, suspend, or discontinue any part of the Services at any time. We are not liable for downtime, data loss, or any related damages.

9. Governing Law

These Legal Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law principles. The state and federal courts located in Denver County, Colorado have exclusive jurisdiction.

10. Dispute Resolution

10.1 Informal Negotiation

Before filing a claim, the parties agree to attempt to resolve any dispute informally for 60 days after written notice.

10.2 Binding Arbitration

If unresolved, disputes will be finally settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

• Class actions are waived; arbitration is individual only.

Exceptions: claims for injunctive relief or IP infringement may proceed in court.

11. Corrections

Information on the Services may contain errors. We may correct or update content at any time without notice.

12. Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS, AND NON-INFRINGEMENT. USE AT YOUR OWN RISK.

13. Limitations of Liability

To the maximum extent permitted by law, Leavid and its officers, employees, or agents will not be liable for indirect, incidental, or consequential damages. Our total liability to you for any claim will not exceed the greater of USD 100 or the amount you paid us in the past six months.

14. Indemnification

You agree to defend and hold Leavid harmless from any claims, damages, and expenses (including attorneys’ fees) arising from your use of the Services or violation of these Legal Terms.

15. User Data

We keep data you submit in accordance with our Privacy Policy and perform regular backups, but you are responsible for maintaining your own copies.

16. Electronic Communications & Signatures

By visiting the Services or emailing us, you consent to receive communications electronically and agree that e-signatures and electronic records satisfy all legal requirements for written agreements.

17. Miscellaneous

These Legal Terms constitute the entire agreement. If any provision is unenforceable, the remainder remains in force. No waiver of any term is a further or continuing waiver of that term or any other.
